Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TradeFile (the “Service”), operated by TradeFile (“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 13 years old (or the minimum digital-consent age in your country, whichever is higher) to use the Service. By using it you represent that you meet this requirement and that the information you provide is accurate.

2. Your account

You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. Your content

“Content” means anything you upload, link to, or display through the Service, including audio files, download links, artwork, text, and the social actions you configure. You retain ownership of your Content. You grant us a limited, non-exclusive license to host, store, transmit, and display your Content solely to operate the Service (for example, to serve your download to fans who complete a gate).

You represent and warrant that, for all Content you provide:

• you own it or have all rights and licenses needed to distribute it through the Service;
• it does not infringe any copyright, trademark, privacy, or other right;
• it does not contain malware, illegal material, or content you are not authorized to share.

You are solely responsible for your Content and for any required rights, royalties, or clearances. See our Copyright / DMCA Policy for how we handle infringement claims, including termination of repeat infringers.

4. Acceptable use

You agree not to:

• use the Service to distribute content you do not have the right to distribute;
• collect personal data from fans (such as email addresses) without a lawful basis and any required consent, or use it in violation of applicable law (see Section 6);
• attempt to bypass, probe, or disrupt the Service’s security, rate limits, or gating;
• use the Service to send spam or unlawful, deceptive, or harmful communications;
• misrepresent the social actions required to unlock a download.

5. Fan email collection

If you enable email collection on a gate, you act as the controller of the email addresses you collect, and we process them on your behalf. You are responsible for providing any required notice to and obtaining any required consent from fans, for honoring unsubscribe and deletion requests, and for complying with email and privacy laws (including CAN-SPAM, GDPR, and similar) when you contact those fans.

6. The Service is provided “as is”

The Service is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any download will remain available.

7. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. On termination, your right to use the Service ends and we may delete your Content.

9. Changes

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
